These Terms and Conditions (“Terms”) govern the access, usage, subscription, engagement, and interaction with DUPI, its website, applications, digital platforms, services, products, communication channels, software systems, and related offerings.

By accessing, browsing, registering, subscribing, purchasing, uploading information, using services, or interacting with DUPI in any manner, users agree to be legally bound by these Terms.

If a user does not agree with these Terms, they must discontinue use of DUPI services immediately.


1. Definitions

For the purpose of these Terms:

  • “Services” refers to all products, subscriptions, digital solutions, profile systems, websites, tools, applications, visibility solutions, listing services, AI tools, marketing systems, and related offerings provided by DUPI.

  • “Platform” refers to the website, applications, portals, dashboards, communication systems, APIs, and digital infrastructure operated by DUPI.


2. Nature of Services

DUPI may provide, facilitate, operate, or enable services including but not limited to:

  • Digital profile and identity solutions

  • Website creation and management

  • Business profile optimization

  • Local listing and visibility solutions

  • Search engine optimization services

  • Recruitment and opportunity-related support systems

  • AI-powered digital assistance tools

  • SaaS-based systems and dashboards

  • Lead generation and communication systems

  • Business onboarding solutions

  • Marketing and promotional services

  • Analytics and reporting tools

  • Automation and workflow systems

  • Third-party integrations and connected services

  • Subscription-based digital products

DUPI reserves the right to:

  • Modify services

  • Add or remove features

  • Suspend functionality

  • Discontinue products

  • Introduce usage limitations

  • Change pricing structures

  • Restrict access to any feature or service at any time without prior notice.


3. Eligibility

By using DUPI, users represent and warrant that:

  • They are legally capable of entering binding agreements

  • Information submitted is accurate and lawful

  • They will comply with applicable laws and regulations

  • They will not use DUPI for unlawful, fraudulent, abusive, misleading, or unauthorized purposes

DUPI reserves the right to reject, suspend, or terminate any account or engagement at its sole discretion.


4. Account Registration and Responsibility

Certain services may require account registration.

Users are responsible for:

  • Maintaining confidentiality of credentials

  • All activities conducted through their accounts

  • Accuracy of submitted information

  • Updating information when required

  • Ensuring lawful use of the platform

Users shall immediately notify DUPI regarding:

  • Unauthorized access

  • Security breaches

  • Suspected misuse

  • Account compromise

DUPI shall not be liable for losses resulting from user negligence or unauthorized account usage.


5. Subscription, Payments, and Billing

Certain DUPI services may operate on subscription, recurring billing, milestone-based, project-based, or prepaid payment models.

Users agree that:

  • Fees must be paid within specified timelines

  • Subscription charges may recur automatically unless cancelled

  • Taxes and statutory charges may apply additionally

  • Delayed payments may result in suspension or termination

  • Services may be withheld for overdue accounts

  • Certain payments may be non-refundable

  • Pricing may change without prior notice for future billing cycles

DUPI reserves the right to:

  • Suspend access for unpaid dues

  • Recover outstanding payments

  • Charge penalties or late fees where applicable

  • Engage collection or legal mechanisms for unpaid liabilities

Payment gateway processing shall be governed by respective third-party providers.


6. Refund and Cancellation Policy

Unless otherwise agreed in writing:

  • Setup fees, onboarding fees, consultation charges, development fees, strategic planning fees, and completed service payments are non-refundable

  • Subscription cancellations do not guarantee refunds for partially used billing cycles

  • Refund eligibility, if any, shall be determined solely by DUPI

  • Chargebacks or unauthorized payment disputes may result in account suspension and legal action

DUPI reserves the right to refuse refund requests where services, work, onboarding, consultations, visibility efforts, marketing efforts, or operational resources have already been utilized.


7. User Conduct and Prohibited Activities

Users shall not:

  • Violate laws or regulations

  • Upload false, defamatory, obscene, misleading, harmful, or infringing content

  • Impersonate individuals or entities

  • Attempt unauthorized access to systems

  • Introduce malware, bots, scripts, or harmful code

  • Interfere with platform operations

  • Harvest data without authorization

  • Use DUPI for spam, fraud, phishing, or abusive activities

  • Resell or exploit services without authorization

  • Use automated scraping mechanisms

  • Misrepresent affiliations, credentials, or opportunities

  • Circumvent security measures or usage restrictions

DUPI reserves the right to investigate, restrict, suspend, or terminate access for violations.


8. Content Ownership and Intellectual Property

All intellectual property associated with DUPI including:

  • Brand assets

  • Logos

  • Software

  • Designs

  • Source code

  • Databases

  • UI/UX elements

  • AI systems

  • Written content

  • Graphics

  • Workflows

  • Marketing assets

  • Technical infrastructure

shall remain the exclusive property of DUPI or its licensors unless explicitly agreed otherwise in writing.

Users shall not:

  • Copy

  • Reproduce

  • Reverse engineer

  • Modify

  • Redistribute

  • Resell

  • License

  • Exploit

any DUPI intellectual property without written authorization.

Users retain ownership of content uploaded by them; however, they grant DUPI a non-exclusive, royalty-free, worldwide license to host, use, process, display, optimize, publish, promote, distribute, and utilize such content for service delivery, operational purposes, platform functionality, analytics, marketing, and promotional activities.


9. User Content and Responsibility

Users are solely responsible for:

  • Accuracy of uploaded information

  • Legality of submitted content

  • Intellectual property rights associated with uploaded materials

  • Permissions and authorizations for published data

DUPI does not guarantee verification, authenticity, or accuracy of user-generated content.

DUPI reserves the right to:

  • Remove content

  • Restrict visibility

  • Reject submissions

  • Suspend accounts

  • Report unlawful activities to authorities

without prior notice.


10. Third-Party Services and Integrations

DUPI may integrate with or depend on third-party platforms including:

  • Payment gateways

  • Social media platforms

  • Hosting providers

  • Analytics systems

  • Advertising platforms

  • Communication APIs

  • Cloud infrastructure providers

  • AI systems

  • Verification tools

DUPI does not guarantee:

  • Continuous availability of third-party services

  • Accuracy of third-party systems

  • Security or performance of external platforms

Users acknowledge that third-party terms and policies may separately apply.


11. Service Availability and Downtime

DUPI does not guarantee uninterrupted, error-free, or continuous service availability.

Services may be impacted by:

  • Maintenance activities

  • Technical failures

  • Vendor disruptions

  • Internet instability

  • Cybersecurity incidents

  • Force majeure events

  • Infrastructure limitations

DUPI shall not be liable for losses arising from temporary unavailability, interruptions, delays, or service disruptions.


12. AI Systems and Automated Processing

DUPI may use AI-driven systems, automation technologies, recommendation engines, analytical systems, and algorithmic tools.

Users acknowledge that:

  • Automated systems may generate outputs based on available inputs

  • AI-generated outputs may contain inaccuracies

  • Recommendations or automated decisions should not be treated as guaranteed outcomes

  • DUPI is not liable for decisions taken solely based on automated outputs

Users remain responsible for independent evaluation of outputs and decisions.


13. Disclaimer of Warranties

DUPI services are provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, DUPI disclaims all warranties including:

  • Merchantability

  • Fitness for a particular purpose

  • Non-infringement

  • Accuracy

  • Reliability

  • Continuous availability

  • Performance guarantees

  • Business outcome guarantees

  • Lead generation guarantees

  • Search ranking guarantees

  • Revenue or employment guarantees

No oral or written communication shall create warranties unless explicitly agreed in writing.


14. Limitation of Liability

To the fullest extent permitted by law:

DUPI, its operators, affiliates, employees, contractors, vendors, or partners shall not be liable for:

  • Indirect losses

  • Consequential damages

  • Business interruption

  • Data loss

  • Reputation loss

  • Opportunity loss

  • Revenue loss

  • Profit loss

  • Cyber incidents

  • Third-party misconduct

  • Unauthorized access

  • Service interruptions

  • User-generated content

  • Platform misuse

  • AI-generated inaccuracies

In all circumstances, DUPI’s aggregate liability shall not exceed the amount paid by the user to DUPI during the preceding three (3) months for the specific service giving rise to the claim.


15. Indemnification

Users agree to indemnify, defend, and hold harmless DUPI and its affiliates from any claims, damages, liabilities, penalties, disputes, legal proceedings, losses, or expenses arising from:

  • User misconduct

  • Violation of laws

  • Infringement of intellectual property

  • Uploaded content

  • Fraudulent activities

  • Breach of these Terms

  • Third-party claims connected to user actions

including legal and professional costs.


16. Suspension and Termination

DUPI reserves the right to suspend, restrict, or terminate services, accounts, subscriptions, or access without prior notice for:

  • Policy violations

  • Illegal activities

  • Non-payment

  • Fraud risks

  • Abuse or misuse

  • Reputational risks

  • Security concerns

  • Operational reasons

  • Government or legal requirements

Termination does not waive payment obligations or accrued liabilities.


17. Confidentiality

Users agree not to disclose confidential information relating to:

  • Internal systems

  • Business processes

  • Pricing models

  • Technical infrastructure

  • Strategies

  • Non-public operational information

  • Proprietary workflows

without written consent from DUPI.


18. Force Majeure

DUPI shall not be liable for delays or failures caused by circumstances beyond reasonable control including:

  • Natural disasters

  • Government actions

  • Internet outages

  • Cyberattacks

  • Pandemics

  • Civil disturbances

  • Labor disruptions

  • Infrastructure failures

  • Power outages

  • Vendor failures


19. Compliance with Laws

Users agree to comply with all applicable laws, regulations, tax obligations, advertising standards, data protection requirements, and industry regulations relevant to their use of DUPI services.

Users are solely responsible for legal compliance associated with their content, services, businesses, listings, offers, and activities.


20. Governing Law and Jurisdiction

These Terms shall be governed and interpreted in accordance with the laws of India.

Any disputes arising out of or related to DUPI services shall be subject to the exclusive jurisdiction of courts located in Kolkata, West Bengal.

DUPI reserves the right to seek injunctive or equitable relief in any competent jurisdiction where necessary.


21. Dispute Resolution

Before initiating formal legal proceedings, users agree to first attempt resolution through good-faith communication with DUPI.

DUPI may choose mediation, arbitration, negotiation, or internal review mechanisms prior to litigation.

Users waive participation in class-action or representative proceedings against DUPI to the extent permitted by law.


22. Electronic Communication and Consent

Users consent to receiving communications electronically including:

  • Emails

  • Notifications

  • SMS

  • WhatsApp communications

  • Platform alerts

  • Billing notices

  • Policy updates

Electronic records and communications shall be considered legally valid.


23. Modifications to Terms

DUPI reserves the right to modify, revise, update, or replace these Terms at any time.

Continued use of services after updates constitutes acceptance of revised Terms.

Users are encouraged to periodically review this page.


24. Severability

If any provision of these Terms is found unenforceable or invalid, the remaining provisions shall continue in full force and effect.


25. Entire Agreement

These Terms, together with applicable policies, constitute the complete agreement between users and DUPI regarding platform usage and services.

No waiver, representation, or modification shall be valid unless expressly acknowledged in writing by DUPI.
